Please read these terms carefully before using our services. By engaging Yeetrix, you agree to be bound by these terms.
By accessing and using the Yeetrix website (yeetrix.com) or engaging Yeetrix for any services, you accept and agree to be bound by these Terms and Conditions and our Privacy Policy. If you do not agree to these terms, please do not use our website or services.
These Terms constitute a legally binding agreement between you ("Client" or "User") and Yeetrix Systems Inc. ("Yeetrix," "we," "us," or "our").
Yeetrix provides digital solutions including, but not limited to, web development, mobile application development, AI integration, UI/UX design, and cloud infrastructure services.
All service deliverables, timelines, and pricing are outlined in separate project-specific Service Agreements executed between Yeetrix and the Client. In the event of any conflict between these Terms and a Service Agreement, the Service Agreement shall prevail.
Yeetrix reserves the right to modify, suspend, or discontinue any service at any time with reasonable notice.
As a client or user of Yeetrix services, you agree to:
• Provide accurate, current, and complete information as required for service delivery. • Cooperate with Yeetrix in good faith, including the timely provision of feedback, approvals, assets, and access credentials. • Ensure that any content, data, or materials you provide to Yeetrix do not infringe upon any third-party intellectual property rights. • Comply with all applicable local, national, and international laws and regulations in connection with your use of our services. • Not use our services for any unlawful, harmful, fraudulent, or abusive purposes.
Payment for Yeetrix services is governed by the terms outlined in the applicable Service Agreement or proposal. General payment terms are as follows:
• Deposits: A non-refundable deposit (typically 50% of the project total) is required before work commences. • Invoicing: Remaining balances are invoiced upon project completion milestones or as specified in the Service Agreement. • Due Date: All invoices are due within 14 days of the invoice date unless otherwise agreed in writing. • Late Payments: Overdue payments may incur a late fee of 2% per month on the outstanding balance. • Suspension: Yeetrix reserves the right to suspend services for accounts with outstanding overdue balances.
All prices are quoted in USD unless otherwise specified.
Client-Owned Work: Upon receipt of full and final payment, Yeetrix assigns to the Client all rights, title, and interest in the final custom deliverables created specifically for that project.
Yeetrix-Retained Work: Yeetrix retains ownership of all source code, frameworks, libraries, tools, and proprietary methodologies developed independently of any specific client project, as well as any work product for which full payment has not been received.
Third-Party Components: Deliverables may incorporate open-source software or third-party components, each subject to its own license terms.
Portfolio Rights: Yeetrix reserves the right to display completed work in its portfolio and marketing materials unless the Client explicitly requests confidentiality in writing.
Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the engagement, including business strategies, technical specifications, client data, and pricing.
This confidentiality obligation does not apply to information that is publicly available, was already known to the receiving party, is independently developed without reference to the confidential information, or is required to be disclosed by law or court order.
To the maximum extent permitted by applicable law, Yeetrix shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, loss of business, or loss of goodwill.
Yeetrix's total cumulative liability for any claims arising under or related to a specific project shall not exceed the total fees paid by you to Yeetrix for that specific project in the three (3) months preceding the claim.
Our services and website are provided on an "AS IS" and "AS AVAILABLE" basis without any warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
Yeetrix does not warrant that our services will be uninterrupted or error-free. We do not guarantee specific business outcomes, revenue growth, or performance metrics as a result of our services.
Either party may terminate a service engagement with 14 days' written notice, subject to the terms of the applicable Service Agreement.
Upon termination: • The Client shall pay for all work completed up to the termination date. • Non-refundable deposits are forfeited. • Yeetrix will transfer all completed and paid-for deliverables to the Client. • Each party shall return or destroy confidential information belonging to the other party.
Yeetrix reserves the right to terminate services immediately if the Client is in breach of these Terms.
These Terms shall be governed by and construed in accordance with applicable laws. Any disputes arising out of or relating to these Terms or our services shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to mediation or arbitration before any legal proceedings are initiated.
Yeetrix reserves the right to revise these Terms at any time. We will provide notice of significant changes by updating the "Last Updated" date on this page. Your continued use of our services after changes are posted constitutes your acceptance of the revised Terms.
